Terms of Service

1. Who we are

proyeet ("proyeet," "we," "us," or "our") is a service operated from the State of Texas, United States. These Terms of Service ("Terms") govern your access to and use of the proyeet website and web application (the "Service"). By creating an account or using the Service, you agree to these Terms. proyeet was founded by Ralph, a former streamer and Live creator on TikTok.

2. What proyeet is — and is not

proyeet is a software platform that gives creators an outlet to Stripe so they can host a crowdfunding fund and share it with their audience. proyeet is not a bank, a money transmitter, a payment processor, an escrow agent, a broker, a fiduciary, or a financial advisor.

We do not hold your money in escrow, and we do not manage, control, or take custody of your money at any time. All contributions are processed by Stripe, Inc. and flow to the fund creator's own connected payment account. The money a creator raises belongs to that creator.

3. Our account fee

In exchange for providing the Service and the outlet to Stripe, proyeet charges an account fee. This is the only amount proyeet collects. The account fee is a service fee for use of the platform. It is separate from, and in addition to, any processing fees charged by Stripe. proyeet does not otherwise take a share of, withhold, or retain the funds you raise.

4. Payments and Stripe

All payment processing is handled by Stripe. To host a fund, each creator connects their own Stripe account through Stripe Connect and agrees to the Stripe Services Agreement and the Stripe Connected Account Agreement. Contributions are paid directly into the creator's own connected Stripe account. proyeet's account fee is collected automatically at the time of each contribution as an application fee; the remaining amount settles to the creator. Because funds move directly between the contributor, Stripe, and the creator's connected account, proyeet never receives, holds, or routes the creator's funds. You are responsible for providing accurate information to Stripe and for meeting Stripe's requirements. proyeet is not responsible for delays, holds, reversals, chargebacks, or decisions made by Stripe or by card networks and banks.

5. Contributions and support

Money sent through the Service is a voluntary contribution or gift of support to a fund creator. Unless a creator explicitly states otherwise on their fund page, contributions are not purchases of goods or services, are not investments, are not loans, and do not entitle the contributor to equity, interest, repayment, rewards, or any financial return. Contributions are generally non-refundable, except as required by law or as handled directly by the creator and Stripe. proyeet does not guarantee that any fund will reach its goal or that funds will be used for any stated purpose.

6. Creator responsibilities

If you create a fund, you are solely responsible for: the accuracy of your fund's description and goal; how you use the money you raise; fulfilling any promises you make to contributors; and complying with all applicable laws, including tax laws. proyeet does not provide tax advice. You are responsible for reporting and paying any taxes owed on funds you receive. You represent that your fund is lawful and not for any prohibited purpose (including fraud, illegal goods or services, harassment, or anything prohibited by Stripe).

7. Sponsorship program

proyeet offers an optional sponsorship program for streamers and creators, which uses a separate sponsor account. If you apply to be a sponsor, you agree to the following:

Applications and approval. Sponsorship is entirely at proyeet's discretion. We review each application and may approve or decline it for any reason. Approval is not guaranteed, and we may end a sponsorship at any time.

Payment for approved videos only. proyeet pays only for videos it reviews and approves — not for every video a sponsor uploads. Uploading a video does not create any obligation for proyeet to pay for it. During the first 30-day trial period, proyeet pays for up to two (2) approved videos at $50 each, paid at the end of that month. After the trial, proyeet pays $100 for each approved video. Payment amounts and the program itself may change. Payments are made manually by proyeet after approval.

Not employment. The sponsorship program does not create an employment relationship, partnership, or guaranteed wage. Sponsors act as independent contractors and are solely responsible for reporting and paying any taxes owed on payments they receive. proyeet does not provide tax advice.

License to videos we pay for. When proyeet approves and pays for a video you submit, you grant proyeet a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, edit, distribute, and publicly display that video for any purpose, including on the proyeet website and on proyeet's own social media accounts (such as TikTok, Instagram, YouTube, and others), without further payment or approval. You represent that you own or have all rights necessary to grant this license, that the video is your original work, and that it does not infringe anyone else's rights. You retain the right to use videos you created on your own channels. Videos that are not approved and paid for remain yours, and proyeet claims no rights to them.

Content standards. Sponsor accounts, profile pictures, bios, and videos must be lawful, must not be misleading, and must not contain content that is infringing, hateful, sexually explicit, or otherwise prohibited. proyeet may remove any sponsor, video, or profile content at any time.

8. Prohibited use

You agree not to use the Service for money laundering, fraud, deceptive fundraising, or any activity that violates law or Stripe's policies. We may suspend or remove any account or fund that we reasonably believe violates these Terms, with or without notice.

9. No warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the fullest extent permitted by law, proyeet and its owner will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of funds, profits, data, or goodwill, arising out of or relating to your use of the Service. Because proyeet never takes custody of your funds, proyeet is not responsible for the funds themselves. To the extent proyeet is found liable for any matter, its total liability will not exceed the total account fees you paid to proyeet in the three (3) months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless proyeet and its owner from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your fund, your use of the Service, your contributions, or your violation of these Terms or applicable law.

12. Changes

We may update these Terms from time to time. Continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. You agree that any dispute will be brought exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction.
